Nvidia has issued a stark reminder that its revolutionary $100 billion pact with OpenAI is not a guaranteed deal, despite the fanfare surrounding their joint announcement earlier this year.

In its latest quarterly filing, the Santa Clara-based company noted that there is “no assurance” the parties will reach a definitive agreement, underscoring that the investment terms could still shift or fall apart entirely.

The cautionary reminder sharply contrasts with the high-confidence rollout in San Jose, where Nvidia CEO Jensen Huang and OpenAI CEO Sam Altman unveiled plans for a multiyear buildout of AI supercomputing facilities beginning in 2026.

But Nvidia, which has been aggressively funding AI companies to strengthen demand for its GPUs, is signaling that even marquee partnerships come with risks.

Beyond OpenAI, Nvidia also highlighted new commitments, including a $5 billion investment in Intel and up to $10 billion for Anthropic, as it expands its ecosystem of AI clients.

Still, the scale of the proposed OpenAI investment remains unmatched and dependent on significant infrastructure milestones.

Despite the uncertainty, Nvidia executives continue to praise OpenAI’s momentum, with Huang calling it a “once-in-a-generation company.”
