Microsoft is reportedly considering legal action against its partner OpenAI and Amazon over a $50 billion cloud agreement that could conflict with its existing exclusivity arrangement with OpenAI.

According to a report by the Financial Times, the dispute centers on whether OpenAI can use Amazon Web Services (AWS) for its new enterprise platform, Frontier, without violating its partnership with Microsoft. 

Under their agreement, OpenAI’s models are primarily required to be accessed through Microsoft’s Azure cloud platform.

The deal between Amazon and OpenAI designates AWS as the exclusive third-party cloud provider for Frontier, a platform designed to build and run AI agents.

Microsoft, however, maintains that Azure remains the exclusive cloud provider for OpenAI’s stateless APIs and says it expects OpenAI to honor that commitment.

Microsoft has indicated that it is prepared to take legal action if the agreement is breached, though sources say discussions are ongoing in an attempt to resolve the issue before Frontier’s launch.

A person familiar with Microsoft’s position told the Financial Times that the company believes the arrangement may violate both the letter and the spirit of its agreement with OpenAI.

Microsoft has been one of OpenAI’s largest backers, investing $1 billion in 2019 and another $10 billion in early 2023. 

The two companies have maintained a close partnership, but recent developments suggest tensions may be emerging as OpenAI expands its collaborations with other major tech firms, including Amazon and others.

The outcome of the dispute could have significant implications for the future of cloud infrastructure in the rapidly growing artificial intelligence industry.
